Terms of Use

1. Who we are and acceptance

mise is an inventory management app offered by mise INTELLIGENCE LTDA, a company registered in Brazil ("mise", "we", "us").

These Terms of Use govern the use of the mise app (web, Android and iOS), the mise.ws website and the related services (the "Service"). By creating an account or using the Service, you confirm that you have read and accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business, you confirm that you are authorized to accept these Terms for it. In that case "you" also means the business.

2. Definitions

• Account: the access created with an email and password to use the Service.
• Business: the establishment registered in the Account (restaurant, bar, store, etc.), with its inventory, locations and team.
• Owner: the person who created the Business in mise and manages the subscription and the team.
• Member: a person invited by the Owner to use the same Business, with the access the Owner chooses.
• Your Data: what you record in the Service: inventory, counts, quantities, purchase and sale prices, invoices, recipe cards, locations, and Business and team details.
• Product Database: the product catalog maintained by mise (barcode, name, brand, category, photo, size and reference price), used to identify the products you scan.

3. What the Service does

Among other features, mise lets you:

• scan barcodes with your phone camera and identify products from the Product Database;
• record deliveries, usage, waste and counts, by location;
• import product lists and supplier invoices and link them to products;
• see current inventory, movement history, reports, count comparisons and recipe costs;
• export reports (for example, to Excel and PDF);
• invite people to count in the same Business, with access set by the Owner;
• talk to our team through the in-app chat.

We improve the Service often and may add, change or remove features. If a change materially reduces what you subscribed to, we will give you reasonable notice.

4. Account and registration

• You must be 18 or older and provide true, up-to-date information.
• You are responsible for keeping your password secret and for everything done in your Account. Tell us at mise@mise.ws if you suspect misuse.
• The Service is intended for professional use in managing a business's inventory.
• We may ask for the tax identification number used for billing in your country (for example, an EIN in the United States or a VAT number in the United Kingdom). We only ask for what is needed to bill you.

5. Team and access

The Owner can invite Members and choose what each can see and do — for example, whether they see costs and prices, record invoices, delete products or see other people's counts. The Owner is responsible for granting and removing that access and for what the Members they invite do within the Business. The Service records who made each movement.

6. Free trial

New Businesses can use the Service free of charge for the trial period shown at sign-up, with no card required. If the trial ends without an active subscription, the Business can still view Your Data, but new movements and counts are blocked until a subscription is started. Your Data is not deleted when the trial ends; section 10 applies.

7. Subscription and payment

• The subscription is monthly, per Business, and renews automatically every month until cancelled.
• The price is the one shown in the app and on the website at the time you subscribe, in the currency shown for your country (for English-speaking customers, currently US$33 per month, or £26 in the United Kingdom). Applicable taxes may be added under the law of your country.
• Payments are handled by a payment partner shown at checkout. mise never stores your full card details.
• If a payment fails, we will let you know. If it stays unpaid, new movements may be blocked — you can still view Your Data — until it is settled.
• We may change the subscription price for future periods with at least 30 days' notice. If you don't agree, you can cancel before the change takes effect.

8. Cancellation and refunds

You can cancel at any time, with no penalty and no minimum term, in the app or by email to mise@mise.ws. Cancellation takes effect at the end of the period already paid, and later periods are not charged.

Where the law of your country treats you as a consumer, you also have its statutory rights — for example, in the United Kingdom and the European Union, a 14-day right to cancel from the date you subscribe with a full refund. To request a cancellation or refund, write to mise@mise.ws with your Account and Business.

9. Your Data belongs to you

• Your Data is yours. We use it only to provide and improve the Service and for the purposes described in the Privacy Policy.
• Your purchase and sale prices, quantities, counts, invoices, recipes and Business details are never shown to other customers.
• You can export Your Data from the app at any time, for example to Excel or PDF.
• You are responsible for the accuracy of what you record, the access you give your team and keeping any records the law requires of you (for example, original tax documents).

10. Data retention and deletion

• While the Account is active, Your Data is kept.
• After cancellation, Your Data remains available for 90 days in case you come back, and is then anonymized or deleted, except for what the law requires us to keep (for example, billing records).
• You can ask for your Account to be deleted at any time, as described in the Privacy Policy.

11. Product Database and contributions

The Product Database is shared across customers and improves with use. Product information that does not identify you or your Business — such as barcode, name, brand, category, photo of the pack or label, and size — may be used by mise to complete and correct the Product Database for everyone.

When you send a photo of a product or label, you confirm you are allowed to send it and grant mise a free, non-exclusive, perpetual license to use, process and display it in the Product Database. Do not send photos showing people, documents or other personal information.

Your prices, quantities and business data never go into the shared Product Database.

12. Automatic and reference information

Product identification, automatic categorization, average market price and matching suggestions come from public sources, retailers, partners and artificial intelligence tools. They are reference information and may contain errors or be out of date. Check anything important to your business. The Service does not replace your accountant, your tax adviser or a physical check of your inventory.

13. Acceptable use

You agree not to:

• use the Service for unlawful purposes or to infringe other people's rights;
• try to access other customers' data or get around access rules and team permissions;
• copy, bulk-extract or resell the Product Database, or use bots to do so;
• provide services to third parties using mise (for example, counting, stock takes or consulting for other businesses with your Account) without a prior written agreement with mise;
• interfere with the operation, security or availability of the Service;
• upload offensive or false content, or content that infringes image or intellectual property rights.

14. Availability and support

We work to keep the Service available and secure, but we do not guarantee uninterrupted or error-free operation. Interruptions may happen for maintenance, updates or reasons outside our control (for example, internet, supplier or device failures). Support is provided by people on our team, through the in-app chat and at mise@mise.ws.

15. Liability

mise is liable for damage it causes in providing the Service as set out by law.

To the fullest extent permitted by law, mise is not liable for lost profits, lost opportunities or business decisions based on reference information (section 12), or for damage caused by misuse of the Account, by Members' actions or by failures of third-party services outside our control.

Except in cases of fraud or gross negligence, and without affecting the rights the law gives consumers, mise's total liability is limited to the amount the Business paid mise in the 12 months before the event.

16. Intellectual property

The app, website, the mise brand, logo, design, software and the Product Database (as an organized collection) belong to mise INTELLIGENCE LTDA or its licensors. These Terms give you the right to use the Service while your subscription lasts; they do not transfer any ownership.

17. Privacy

Personal data is handled under our Privacy Policy and the applicable law, including Brazil's General Data Protection Law (LGPD), the UK GDPR and Data Protection Act 2018 for users in the United Kingdom, the GDPR for users in the European Union and, for users in the United States, the applicable state privacy laws.

18. Suspension and termination by mise

We may suspend or close an Account that breaches these Terms or the law, or that puts the security of the Service or other customers at risk. Whenever possible we will warn you first and give you the chance to fix it. If we close an Account through no fault of yours, we will refund the unused part of the period you paid for.

19. Changes to these Terms

We may update these Terms. Material changes will be announced in the app or by email at least 15 days in advance. If you keep using the Service after the effective date, you accept the new version. If you don't agree, you can cancel before that date.

20. Governing law and contact

These Terms are governed by the laws of Brazil, with jurisdiction in the courts of mise's registered office, without prejudice to a consumer's right to bring proceedings in the courts where they live. Consumer protection rules of your country of residence that cannot be excluded by contract always apply.
